These Terms of Service ("Terms") govern your access to and use of the website located at gasgrip.com (the "Website") and all related services, programs, workshops, coaching sessions, and materials provided by GasGrip Leadership Communication Lab ("GasGrip," "we," "us," or "our"), collectively referred to as the "Services."

By accessing or using our Website or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Website or Services. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Website or Services following any modification constitutes your acceptance of the modified Terms.

2. Description of Services

GasGrip provides executive communication coaching, leadership development workshops, corporate training programs, speaking engagements, and related educational services. Our Services are designed for business professionals, executives, and organizations seeking to improve leadership communication skills.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. Eligibility

You must be at least 18 years of age to use our Website and Services. By using our Website and Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are accessing or using our Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

4. User Accounts and Registration

Certain features of our Services may require you to create an account or register. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to keep it accurate, current, and complete
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account or any other breach of security

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

5. Program Enrollment and Payment

When enrolling in any GasGrip program, workshop, or coaching engagement, you agree to the following:

  • Pricing: All fees are quoted in US dollars unless otherwise specified. We reserve the right to change our pricing at any time, though changes will not affect existing confirmed enrollments
  • Payment: Full payment or an agreed-upon deposit is required to confirm enrollment. We accept major credit cards and bank transfers
  • Cancellation by Client: Cancellations made more than 30 days before the program start date will receive a full refund minus a 10% administrative fee. Cancellations made 15–30 days before the start date will receive a 50% refund. Cancellations made fewer than 15 days before the start date are non-refundable
  • Cancellation by GasGrip: If we cancel a program for any reason, you will receive a full refund of all fees paid
  • Rescheduling: Program dates may be rescheduled with mutual agreement. Rescheduling requests must be made in writing at least 14 days prior to the original program date

6. Intellectual Property Rights

All content, materials, methodologies, frameworks, trademarks, logos, and other intellectual property displayed on our Website or provided through our Services are the exclusive property of GasGrip Leadership Communication Lab or our licensors, and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Website and program materials for personal, non-commercial purposes. You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from our Website or Services without prior written consent
  • Use our methodologies, frameworks, or proprietary materials to provide competing services
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use any automated means to access, scrape, or collect data from our Website

7. Confidentiality

Both parties acknowledge that during the course of our engagement, confidential information may be shared. GasGrip treats all client information, including coaching session content, assessment results, and personal development plans, as strictly confidential. We will not disclose any client information to third parties without your explicit written consent, except as required by law. Similarly, you agree to keep confidential any proprietary methodologies, tools, and materials shared with you during our programs.

8. Limitation of Liability

To the fullest extent permitted by applicable law, GasGrip Leadership Communication Lab, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the Website or Services
  • Any conduct or content of any third party on the Website or Services
  • Any content obtained from the Website or Services
  • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims arising from or related to the Website or Services exceed the amount you have paid to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

Our Website and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive to provide high-quality coaching and training services, we do not guarantee specific results or outcomes from participation in our programs. Individual results may vary based on numerous factors including personal effort, organizational context, and prior experience.

10. Indemnification

You agree to defend, indemnify, and hold harmless GasGrip Leadership Communication Lab, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Website or Services, your violation of any term of these Terms, or your violation of any third-party right, including without limitation any intellectual property, property, or privacy right.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our Services shall be resolved through the following process:

  • Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation for a period of 30 days
  • Mediation: If negotiation is unsuccessful, the parties agree to submit the dispute to mediation in San Francisco, California
  • Litigation: If mediation is unsuccessful, either party may pursue litigation in the state or federal courts located in San Francisco County, California

12. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you may enter into with GasGrip in connection with the Services, constitute the entire agreement between you and GasGrip concerning your use of the Website and Services and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
